This Terms of Service (“Terms”) govern your access to and use of the Claysole website [www.claysole.com] and related services (collectively, the “Services”). By accessing or using Claysole, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Acceptance of Terms
By accessing or using the Services, you agree to these Terms. If you are using Claysole on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Eligibility
To use Claysole, you must:

Be at least 18 years old or have the legal capacity to enter into a contract.

Have the right and authority to use the Services under applicable laws in your jurisdiction.
3. Accounts and Registration
To access certain features of Claysole (including buying or selling), you must register for an account.
You agree to:

Provide accurate, complete, and current information.

Maintain the confidentiality of your account credentials.

Be responsible for all activity under your account.

Notify us promptly of any unauthorized use.
4. Vendor Responsibilities
Vendors (“Sellers”) are responsible for:

Ensuring all listings (products or services) are accurate, lawful, and culturally respectful.

Complying with all applicable laws, including tax, customs, safety, consumer protection, and intellectual property regulations.

Setting and managing their pricing, shipping methods, fulfillment times, taxes, and customer service.

Handling disputes professionally and ethically with customers.

Paying all applicable marketplace fees and maintaining up-to-date billing information.
International Vendors must ensure that items sold are eligible for export and comply with the laws in both their country and the destination country.
5. Customer Responsibilities
Customers agree to:

Provide accurate shipping and payment information.

Comply with all applicable laws related to purchasing, including customs and tax regulations.

Review vendor policies before completing purchases.

Submit disputes or refund requests in accordance with Claysole’s dispute process.
6. Fees and Payments
Claysole collects fees from Vendors in the form of:

A marketplace commission percentage

Payment processor fees (e.g., Stripe or PayPal)
-
A monthly subscription or listing fee (as applicable)
All fees are subject to change with prior notice. Payment is collected securely through third-party processors. Vendors must comply with those processors’ terms.
7. Marketplace Transactions

Claysole acts as a facilitator of sales between Vendors and Customers and is not the seller of record.

Orders are processed through our platform but fulfilled directly by Vendors.

Vendors receive payouts based on the payment schedule, minus fees.

Claysole does not guarantee product quality, accuracy, delivery speed, or satisfaction. These are the responsibility of Vendors.
8. International Use
Claysole welcomes international Vendors and Customers. You are responsible for understanding and complying with all local, regional, and national laws that apply to your transactions.
This includes:

Customs declarations

Import/export restrictions
-
VAT, GST, and other local taxes
-
International shipping timelines, fees, and customs duties
Claysole is not liable for delays or fees related to international trade.
9. Prohibited Activities
You agree not to:

Violate any law or regulation.

Sell illegal, counterfeit, stolen, or unsafe items.
-
Infringe on any intellectual property rights.
-
Post content that is abusive, offensive, hateful, or discriminatory.

Attempt to access another user’s account or Claysole systems without authorization.

Circumvent Claysole’s fee structure or policies.
10. Intellectual Property
All content on Claysole (including site design, logos, text, graphics, and software) is owned or licensed by Claysole and protected by copyright and other laws.
Vendors retain ownership of their content but grant Claysole a non-exclusive, worldwide, royalty-free license to use, display, promote, and distribute that content to operate the Services.
11. Privacy and Data Protection
Your use of Claysole is subject to our Privacy Policy, which is incorporated by reference. Vendors and Customers must respect data privacy laws, including but not limited to CCPA and GDPR, when handling personal information.
12. Disclaimers

Claysole provides the platform “as is” without warranties of any kind.

We do not guarantee continuous access or error-free performance.

Claysole is not responsible for third-party vendors, listings, or transactions.

We do not guarantee the legality, authenticity, or accuracy of items sold on the marketplace.
13. Limitation of Liability
To the maximum extent permitted by law:

Claysole will not be liable for any indirect, incidental, special, or consequential damages, including lost profits or data.

Our total liability to you for any claim will not exceed the greater of $100 or the total fees paid to Claysole by you in the 6 months prior to the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold Claysole, its employees, partners, agents, and affiliates harmless from any claims, losses, damages, liabilities, and expenses arising from your:

Violation of these Terms

Violation of any third-party rights

Use of the Services, including as a Vendor or Customer
15. Termination
Claysole may suspend or terminate your account at any time if you:

Violate these Terms or any Claysole policies

Engage in fraud, abuse, or illegal conduct

Cause harm to the marketplace or its users
You may cancel your account at any time. All obligations (e.g., pending payments, disputes) must be resolved prior to termination.
16. Governing Law
These Terms are governed by the laws of the State of California, United States. Any dispute arising out of or relating to these Terms shall be brought in the courts of [Insert County], California.
17. Changes to These Terms
Claysole reserves the right to update these Terms. We will notify users of material changes by posting an update and revising the “Last Updated” date. Continued use of the Services constitutes acceptance of the revised Terms.
18. Severability
If any part of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
